These Terms of Use ("Terms") govern your access to and use of the Sky High Systems website (skyhighsystems.com) and the Sky High Systems AI Concierge Platform ("the Platform"). By accessing the website or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use our website or Platform.

"Platform" means the AI Concierge software, tools, and services provided by Sky High Systems.
"Client" means a business entity that has entered into a subscription agreement with Sky High Systems.
"End User" means a member of the public who interacts with a Sky High Systems AI Concierge widget deployed by a Client.
"Services" means all features, tools, and services provided through the Platform.
2. Eligibility and Account Registration
The Platform is available to business entities worldwide. By registering as a Client, you represent and warrant that:
You are authorised to enter into a binding agreement on behalf of your business
Your business operates lawfully in your jurisdiction
All information you provide during registration is accurate and current
You will maintain the security of your account credentials
You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorised access.
3. Subscription, Fees, and Payment
3.1 Setup Fee
A one-off setup fee is payable prior to commencement of the Platform deployment. The setup fee amount is confirmed during the discovery call and varies based on business complexity, number of services, and integration requirements. Setup fees are non-refundable once onboarding has commenced.
3.2 Monthly Subscription
Monthly subscription fees are charged in advance on the billing date. All fees are in US Dollars (USD). Local taxes may apply depending on your jurisdiction. Sky High Systems reserves the right to adjust subscription fees with 30 days' written notice to Clients.
3.3 Payment Processing
Payments are processed by Stripe. By providing payment information, you authorise Sky High Systems to charge the applicable fees to your nominated payment method. Failed payments may result in suspension of access to the Platform.
3.4 Results Guarantee
If a Client does not capture at least 50% more leads in the first 90 days following go-live, the fourth month's subscription fee will be credited or waived. This guarantee applies to the monthly subscription fee only and excludes the one-off setup fee. The guarantee is assessed based on measurable lead capture data within the Platform. Sky High Systems reserves the right to assess eligibility for this guarantee on a case-by-case basis.
4. Cancellation and Termination
4.1 Cancellation by Client
Clients may cancel their subscription at any time by providing written notice to [email protected]. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a billing period.
4.2 Termination by Sky High Systems
Sky High Systems may suspend or terminate a Client's access to the Platform immediately and without notice if the Client:
Breaches any provision of these Terms
Fails to pay any amounts due
Uses the Platform for any unlawful or fraudulent purpose
Engages in conduct that damages Sky High Systems or its reputation
5. Acceptable Use
You agree not to use the Platform to:
Violate any applicable law or regulation in your jurisdiction
Collect or process personal information in breach of the Privacy Act 1988 (Cth)
Send unsolicited commercial electronic messages in breach of the Spam Act 2003 (Cth)
Engage in deceptive, misleading, or fraudulent conduct
Transmit harmful, offensive, or illegal content
Attempt to reverse-engineer, copy, or exploit any part of the Platform
Interfere with or disrupt the Platform or its infrastructure
6. Intellectual Property
All intellectual property in the Platform, including but not limited to software, AI models, designs, text, and trademarks, is owned by or licensed to Sky High Systems. Nothing in these Terms transfers any intellectual property rights to the Client.
Clients retain ownership of their own business data, service information, and content uploaded to the Platform. By providing content to Sky High Systems, you grant us a non-exclusive, royalty-free licence to use that content solely for the purpose of delivering the Services.
7. AI-Generated Content and Limitations
The Sky High Systems AI Concierge generates responses based on training data provided by the Client and Sky High Systems' underlying AI models. You acknowledge that:
AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate
You are responsible for reviewing and approving the AI's training content and responses
Sky High Systems is not liable for any loss arising from reliance on AI-generated content by End Users
The AI Concierge does not provide medical, legal, financial, or professional advice
8. Limitation of Liability
To the maximum extent permitted by applicable law:
Sky High Systems' total liability to a Client for any claim arising from or in connection with the Platform is limited to the total subscription fees paid by that Client in the three months preceding the claim
Sky High Systems is not liable for any indirect, incidental, special, or consequential loss, including loss of revenue, loss of data, or loss of opportunity
Sky High Systems is not liable for service interruptions caused by third-party providers, including Stripe, PayPal, Google, or telecommunications carriers
Nothing in these Terms limits any statutory rights you have under the consumer protection laws of your jurisdiction that cannot be excluded.
9. Indemnification
You agree to indemnify and hold harmless Sky High Systems, its officers, employees, and agents from any claims, liabilities, damages, costs, and expenses (including legal fees) arising out of or in connection with your use of the Platform, breach of these Terms, or violation of any applicable law.
10. Privacy
Sky High Systems collects and handles personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By using the Platform, you agree to our Privacy Policy, which is incorporated into these Terms by reference.
11. Governing Law
These Terms are governed by the laws of Queensland, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Queensland for any dispute arising under these Terms.
